Annual Meeting Annual meeting is a term that is generally used to refer to annual meetings of shareholders or directors of a corporation. Shareholders generally meet annually to elect directors or to consider major changes to the corporation, such as amending the articles of incorporation or merging or dissolving the corporation. Directors meet to consider or ratify important business decisions, such as borrowing money, buying real property or hiring key employees. Annual meetings are generally required to be held by a corporation's by-laws and/or state laws. For instance, every state in the United States requires publically-traded companies that are incorporated in that state to hold annual meetings of shareholders to elect board of directors and handle other business that requires shareholders' approval.
